Terms of Service

Service Description

CommissionFlow is a hosted SaaS platform for commission plan configuration, deal imports, payout calculations, commission statements, and related reporting workflows. The service includes AI-assisted extraction of uploaded commission plan documents; extracted outputs are aids for review and should be verified by an authorized administrator before use.

Account Responsibilities

• Provide accurate account and billing information.
• Maintain account security and access controls for your organization.
• You are responsible for all activity under your organization account.

Acceptable Use

You may not use the service to:

• Violate applicable laws or regulations.
• Upload malicious code or attempt unauthorized access to the service or others' data.
• Interfere with service operation or another customer's use.
• Reverse engineer, decompile, or copy the service except as permitted by law.

Intellectual Property

CommissionFlow and its software, branding, and documentation are owned by CommissionFlow and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the service during an active subscription.

Data Ownership And License

You own your customer data — commission plans, deal records, payout outputs, and related content. You grant CommissionFlow a limited license to process and store your data solely to provide, secure, support, and improve the service.

Beta Access

CommissionFlow is currently offered through an invite-based beta. Access requests are reviewed in batches. During beta, features and availability may change as we improve the product.

Payment Terms

• During beta, approved teams access CommissionFlow at no charge or at pilot pricing communicated in their invite. No credit card is required to request beta access.
• If and when paid plans become available, all pricing and terms will be clearly shown before any charges apply.
• For any active paid subscriptions, you authorize CommissionFlow and our payment providers to charge applicable fees and taxes.

Cancellation And Refunds

You may cancel or close your account at any time. During beta there are no subscription fees. For any future paid plans: cancellations take effect at the end of the current billing period with no refunds for partial months already paid.

Termination

We may suspend or terminate access for material violation of these Terms, non-payment, or abusive activity. You may terminate by closing your account and canceling billing. Upon termination, you may request a data export before account deletion.

No Warranty

The service is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, or uninterrupted operation. We do not warrant that the service will be error-free or that AI-extracted outputs will be accurate in all cases.

Limitation of Liability

To the maximum extent permitted by law, CommissionFlow is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill arising from your use of the service.

Our total liability for claims arising from the service is limited to fees paid by you in the 12 months preceding the claim.

Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario, Canada.

Changes To Terms

We may update these Terms occasionally. Material changes will be posted with an updated effective date. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.
